Terms of Service

1. Agreement to Terms

By accessing or using HandyBro ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including our mobile application and website.

2. Description of Service

HandyBro is an AI-powered platform that helps contractors and tradespeople:

• Generate cost estimates for construction and renovation projects
• Create and send professional proposals to clients
• Create and send invoices to clients
• Accept online payments from clients via Stripe Connect
• Manage client information and project data
• Track proposal status and client responses

3. User Accounts

Account Creation

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information as needed
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

Account Termination

We reserve the right to suspend or terminate your account at any time for violations of these Terms, fraudulent activity, or any other reason at our sole discretion.

4. Communications

By creating an account with HandyBro, you agree to receive electronic communications from us, including but not limited to:

• Transactional messages related to your account and service usage
• Product updates, new features, and service announcements
• Tips, guides, and educational content to help grow your business
• Promotional offers, discounts, and marketing materials

You may opt out of non-essential communications at any time by using the unsubscribe link provided in our emails or by contacting us at contact@handybro.app. Transactional communications necessary for the operation of your account cannot be opted out of while your account remains active.

5. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use automated systems to access the Service without permission
• Create false or misleading estimates or proposals
• Impersonate others or misrepresent your qualifications
• Use the Service for any fraudulent purpose

6. AI-Generated Content

HandyBro uses artificial intelligence to generate cost estimates and suggestions. You acknowledge and agree that:

• Estimates are suggestions only: AI-generated estimates are not guaranteed to be accurate and should be reviewed by qualified professionals
• Professional judgment required: You are responsible for verifying all estimates before presenting them to clients
• No liability for AI errors: We are not liable for inaccurate estimates or any damages resulting from reliance on AI-generated content
• Local regulations: You are responsible for ensuring estimates comply with local building codes, regulations, and licensing requirements

7. Intellectual Property

Our Property

The Service, including its original content, features, and functionality, is owned by HandyBro and is protected by copyright, trademark, and other intellectual property laws.

Your Content

You retain ownership of content you create using the Service (project data, proposals, etc.). By using the Service, you grant us a license to use, store, and process your content to provide and improve our services.

8. Payments

HandyBro Subscriptions

Some features of the Service require a paid subscription. By subscribing, you agree to pay all fees associated with your chosen plan. HandyBro subscriptions are sold and billed exclusively through the Apple App Store (iOS) and Google Play (Android) using their in-app purchase systems.

Subscriptions automatically renew unless cancelled before the renewal date. You can cancel your subscription at any time through the Apple App Store or Google Play account settings.

Refunds for subscription fees are handled according to the policies of the app store where you made the purchase (Apple App Store or Google Play). We do not provide direct refunds for subscription fees.

Online Client Payments via Stripe Connect

HandyBro offers an optional feature that lets contractors accept online card payments from their clients on the public proposal and invoice pages. This feature is powered by Stripe Connect Express. By enabling and using this feature, you acknowledge and agree to the following:

• Stripe onboarding: To accept online payments, you must complete Stripe Connect Express onboarding for each Company in your account. Stripe may require identity verification, banking, and tax information before activating your account.
• Merchant of record: The contractor (you) is the merchant of record for all client payments. HandyBro acts solely as a payment facilitator; we are not a bank, a money transmitter, or a financial institution.
• Platform fee: HandyBro charges a 1% platform fee on each successful client payment, applied via Stripe's application_fee_amount and absorbed by the contractor. Stripe's standard processing fees also apply per Stripe's pricing and are netted from your payout.
• Partial payments: Customers may pay any amount up to the outstanding balance. The proposal and its linked invoice share the same outstanding balance.
• Refunds and disputes: Refunds and chargeback responses are managed by the contractor in the Stripe dashboard. HandyBro reflects refunds in payment history once Stripe confirms them.
• Tax reporting: Contractors are solely responsible for reporting and remitting taxes on payments they receive.
• Stripe agreements: Use of Stripe Connect is subject to the Stripe Services Agreement and the Stripe Connected Account Agreement. By accepting payments through HandyBro you agree to be bound by those agreements.

HandyBro reserves the right to suspend the online payments feature for any contractor who violates these Terms, Stripe's policies, or applicable law.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy of AI-generated estimates
• Warranties that defects will be corrected

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HANDYBRO SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or business opportunities
• Damages arising from reliance on AI-generated estimates
• Damages resulting from unauthorized access to your account
• Any amount exceeding the fees you paid in the past 12 months

11. Indemnification

You agree to indemnify, defend, and hold harmless HandyBro and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Third-Party Services

The Service integrates with several third-party providers, including:

• Apple App Store and Google Play(HandyBro subscription billing on iOS and Android)
• Stripe (Stripe Connect Express for online client payments — see Section 8)
• Firebase / Google Cloud (authentication, database, storage, push notifications, analytics)
• OpenAI (AI-generated estimates and content)
• SendGrid (transactional email)
• Twilio (SMS verification)

We are not responsible for the content, privacy policies, or practices of third-party services. Your use of such services is at your own risk and subject to their terms.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
